Terms of Service
Effective date: 1 January 2026
1. Acceptance of Terms
By accessing this website (ndis.sahajilo.com) or engaging Sahajilo ("we", "us", "our") for any services, you ("Client", "you") agree to be bound by these Terms of Service and any additional terms incorporated by reference.
If you are entering into these terms on behalf of an organisation, you represent that you have the authority to bind that organisation to these terms.
2. Description of Services
Sahajilo provides outsourced administrative and operational support services to NDIS providers, including but not limited to:
- NDIS billing, claims processing, and plan management administration
- Roster creation and payroll processing support
- Compliance register management and compliance preparation
- IT helpdesk support
- Recruitment and onboarding coordination
Specific services, deliverables, and service levels are agreed upon in a separate Service Agreement or Statement of Work (SOW) signed by both parties.
3. Eligibility
Our services are available to NDIS providers and entities supporting participants under the NDIS. By engaging our services, you represent that:
- Your organisation operates as or supports an NDIS provider
- You have the legal authority to enter into a binding agreement
- All information you provide to us is accurate and complete
4. Service Agreements and Plans
Month-to-month plans: Unless otherwise stated in a separate agreement, all plans are provided on a month-to-month basis.
Notice period: Either party may cancel or change plans by providing 30 days written notice. Cancellation takes effect at the end of the notice period; any fees owing for that period remain payable.
Custom engagements: For Full Desk and bespoke arrangements, terms are governed by a separate Service Agreement which supersedes these general terms where there is any inconsistency.
5. Fees and Payment
Pricing: All fees are in Australian Dollars (AUD) plus GST unless otherwise stated. Current pricing is published at ndis.sahajilo.com/pricing and may be updated with 30 days notice.
Invoicing: Invoices are issued monthly in advance. Payment is due within 14 days of the invoice date.
Late payment: We reserve the right to charge interest on overdue amounts at the rate of 10% per annum, and to suspend services if an invoice remains unpaid beyond 30 days.
Onboarding fee: A one-time onboarding session is included in all plans at no charge. Subsequent onboarding or additional setup work may be quoted separately.
6. Client Obligations
You agree to:
- Provide accurate, complete, and timely information required for us to perform the services
- Grant Sahajilo staff the access and permissions reasonably required to carry out agreed tasks (e.g. PRODA, payroll platforms)
- Notify us promptly of any changes in your organisation's registration status, staffing, or operational requirements
- Comply with all applicable laws, including the NDIS Act 2013, the Privacy Act 1988, and any relevant state or territory legislation
- Not use our services for any unlawful purpose
7. Confidentiality
Both parties agree to keep confidential all non-public information received from the other party in connection with the services, and not to disclose such information to third parties without prior written consent, except as required by law.
This obligation survives termination of the service relationship for a period of 3 years.
8. Data and Privacy
The handling of personal information is governed by our Privacy Policy (ndis.sahajilo.com/privacy), which forms part of these terms.
Where Sahajilo processes personal information on your behalf (including participant and staff data), we act as a data processor and you remain the data controller. We will only process such data in accordance with your instructions and applicable law. A Data Processing Agreement is available upon request.
9. Intellectual Property
Our IP: All tools, templates, workflows, software, and documentation developed by Sahajilo remain our intellectual property. We grant you a limited, non-exclusive licence to use deliverables provided to you as part of the services.
Your IP: You retain all rights to data, documents, and materials you provide to us. Nothing in these terms transfers ownership of your content to Sahajilo.
10. Limitation of Liability
To the maximum extent permitted by Australian law:
- Our total liability for any claim arising out of or in connection with these terms or the services is limited to the fees paid by you in the 3 months preceding the event giving rise to the claim.
- We are not liable for indirect, incidental, special, or consequential loss, including lost profits, data loss, or business interruption.
- We do not warrant that the services will be error-free or uninterrupted, though we will use reasonable endeavours to deliver services as agreed.
Nothing in these terms limits liability that cannot be excluded by law, including liability under the Australian Consumer Law for consumer guarantees.
11. Indemnification
You agree to indemnify and hold harmless Sahajilo, its directors, employees, and contractors from and against any claims, losses, or liabilities arising from:
- Your breach of these terms or any applicable law
- Inaccurate or incomplete information provided by you
- Your use of our services in a manner not authorised by these terms
12. Termination
Either party may terminate the service relationship:
- With 30 days written notice (for month-to-month plans)
- Immediately, if the other party commits a material breach and fails to remedy it within 14 days of written notice
- Immediately, if the other party becomes insolvent or enters into administration
Upon termination, we will return or destroy your data in accordance with our offboarding procedures within 30 days, and all outstanding fees become immediately payable.
13. Governing Law
These terms are governed by the laws of New South Wales, Australia. Any disputes will be subject to the exclusive jurisdiction of the courts of New South Wales.
We encourage parties to resolve disputes through good-faith negotiation before resorting to legal proceedings.
14. Changes to These Terms
We may update these Terms of Service from time to time. Material changes will be communicated via email or a notice on our website at least 14 days before taking effect. Continued use of our services after that date constitutes acceptance of the revised terms.
